Terms of Service

1. Who we are

Synkrea is a service operated by Rafael Ferrero Conde, with NIF 48291455B and registered address at c/ Agrillent 13, 46870 Ontinyent (Valencia), Spain. You can reach us at soporte@synkrea.com.

Throughout this document "Synkrea", "we", "us", or "the Service" refers to this entity. "You", "User", or "Customer" refers to the individual or legal entity using the Service.

2. Acceptance of Terms

By registering, accessing, or using Synkrea you accept these Terms of Service and our Privacy Policy. If you don't agree, please don't use the Service.

If you're using the Service on behalf of a company or legal entity, you represent that you have authority to bind that entity to these Terms.

3. Service description

Synkrea is a SaaS platform providing community management, campaigns, and messaging tools for marketing agencies and their clients. The Service includes a web dashboard (CRM) and a browser extension.

We reserve the right to modify, suspend, or discontinue features of the Service at any time, with reasonable advance notice when possible.

4. User accounts

To use Synkrea you must create an account by providing accurate and up-to-date information. You're responsible for maintaining the confidentiality of your credentials and for all activity under your account.

Accounts can be of type Agency (which invites and manages Clients) or Client (invited by an Agency). Agencies are responsible for the actions of the Clients they invite.

Notify us immediately of any unauthorized use of your account at soporte@synkrea.com.

5. Plans, pricing, and billing

5.1. Plans

Current plans and pricing are published at synkrea.com/pricing. We reserve the right to change prices with at least 30 days' notice.

5.2. Billing

Payments are processed through Stripe. By subscribing you authorize Stripe to charge the provided payment method on a recurring basis according to your plan.

For Agencies, billing may be usage-based (per active Client) or a fixed monthly fee, depending on the plan.

5.3. Non-payment

In case of non-payment, we may suspend or cancel your access after a reasonable grace period and prior notice.

5.4. Refunds

Payments are non-refundable except where required by applicable consumer protection law. For consumers in the EU, the 14-day right of withdrawal is honored where applicable.

7. Intellectual property

7.1. Your content

You retain ownership of the data and content you upload to the Service ("Customer Content"). You grant us a limited, non-exclusive license to process it solely to provide the Service to you.

7.2. Our property

Synkrea, its software, brand, logos, design, and documentation are owned by Rafael Ferrero Conde. No license other than normal use of the Service is granted.

8. Privacy and data protection

Processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

Synkrea complies with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection and Digital Rights.

When an Agency invites Clients, both parties assume their corresponding responsibilities as Data Controllers or Data Processors as applicable.

9. Availability and support

We make reasonable efforts to keep the Service available 24/7, but we don't guarantee uninterrupted availability. Outages may occur due to scheduled maintenance, technical incidents, or force majeure.

Support is provided through soporte@synkrea.com during business hours Monday to Friday, in English or Spanish.

10. Limitation of liability

To the maximum extent permitted by applicable law, Synkrea shall not be liable for indirect damages, loss of profits, loss of data, loss of business opportunities, or consequential damages arising from use of the Service.

Our total aggregate liability for any claim related to the Service is limited to the amount paid by you during the 12 months prior to the event giving rise to the claim.

This limitation does not exclude or limit liability for willful misconduct, gross negligence, or any other liability that cannot be excluded or limited under applicable law, including consumer rights.

11. Termination

You may cancel your account at any time from the settings panel. Cancellation takes effect at the end of the current billing period.

We may suspend or cancel your account if you breach these Terms, with prior notice when reasonably possible.

After cancellation, your access to the Service ends and your data may be deleted after a 30-day retention period, unless law requires longer retention.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email and/or in the Service with at least 30 days' notice. Continued use of the Service after changes take effect implies acceptance of the new Terms.

13. Governing law and jurisdiction

These Terms are governed by Spanish law. Any dispute will be submitted to the competent Courts of Valencia, unless applicable consumer protection legislation provides otherwise.

For Customers domiciled in the European Union, their right to access courts in their place of residence is honored where applicable.

14. Final provisions

If any clause of these Terms is held invalid or unenforceable, the remainder will remain in full force and effect.

Failure on our part to exercise any right does not constitute a waiver of that right.

These Terms, together with the Privacy Policy and any specific plan agreement, constitute the entire agreement between the parties.
